    1. Introduction & Acceptance

    These Pharmacy Participation Terms ("Pharmacy Terms") govern your pharmacy's participation on the Script Unlock platform. By registering as a pharmacy on Script Unlock, you agree to be bound by these terms, our general Terms of Service, and our Privacy Policy.

    Script Unlock operates as a neutral marketplace connecting patients seeking prescription pricing with licensed pharmacies. We do not practice pharmacy, dispense medications, or provide medical advice.

    2. Eligibility Requirements

    To participate on Script Unlock, your pharmacy must meet the following requirements:

    • Hold a valid, unrestricted pharmacy license in your operating jurisdiction
    • Maintain all required registrations with your regulatory authority (DEA/NPI for US; AHPRA/TGA for AU)
    • Carry appropriate professional liability insurance
    • Operate a physical pharmacy location (virtual-only pharmacies require special approval)
    • Have no pending disciplinary actions or license restrictions
    • Comply with all applicable federal and state pharmacy laws

    3. Registration & Verification

    The registration process includes:

    4. Fees & Payment Terms

    Monthly Subscription$149/month

    Full platform access including unlimited bids, analytics dashboard, and priority support.

    • Subscription is billed monthly on the anniversary of your signup date
    • Payment is processed automatically via your saved payment method
    • You may cancel your subscription at any time; access continues until the end of the billing period
    • No refunds for partial months or unused subscription time
    • Script Unlock reserves the right to modify pricing with 30 days' notice

    5. Platform Participation Rules

    5.1 Receiving & Responding to Requests

    • You will receive prescription pricing requests from patients in your service area
    • Respond to requests promptly (within 4 hours recommended for best results)
    • Provide accurate, all-inclusive pricing (medication cost, dispensing fees, delivery if applicable)
    • Clearly disclose any limitations or requirements

    5.2 Pricing Integrity

    • All quoted prices must be honored for a minimum of 48 hours
    • Prices must be accurate and include all applicable fees
    • No bait-and-switch pricing tactics
    • Price adjustments after acceptance require patient consent

    5.3 Prohibited Conduct

    • • Soliciting patients off-platform to avoid platform fees
    • • Sharing patient contact information externally
    • • Submitting false or misleading pricing
    • • Discriminating against patients based on prescription type
    • • Colluding with other pharmacies on pricing
    • • Using automated systems to manipulate the bidding process

    6. Order Fulfillment Obligations

    When a patient accepts your pricing and places an order, you agree to:

    • Verify the prescription with the prescribing provider when required
    • Perform all standard pharmacy verification and safety checks
    • Dispense medications in accordance with all applicable laws
    • Provide clear instructions and patient counseling as required
    • Ship orders within the stated timeframe (typically 1-2 business days)
    • Use appropriate packaging to ensure medication integrity
    • Provide tracking information for shipped orders

    Inability to Fulfill

    If you cannot fulfill an accepted order (e.g., medication unavailable, prescription issues), you must notify the patient within 4 hours and provide a full refund. Repeated fulfillment failures may result in account suspension.

    7. Patient Data & Privacy

    You acknowledge that patient prescription information is protected health information (PHI) under HIPAA and agree to:

    • Use patient data solely for fulfilling prescription requests
    • Maintain appropriate safeguards for all patient information
    • Not use patient data for marketing without explicit consent
    • Report any data breaches to Script Unlock within 24 hours
    • Comply with all applicable privacy laws and regulations
    • Train staff on proper handling of patient information

    Important: Script Unlock will enter into a Business Associate Agreement (BAA) with each participating pharmacy as required by HIPAA.

    8. Ratings & Reviews

    Patients may rate and review their experience with your pharmacy:

    • Ratings are based on price accuracy, fulfillment speed, and service quality
    • You may respond to reviews professionally and constructively
    • Soliciting or incentivizing positive reviews is prohibited
    • Fraudulent reviews (by either party) will be removed
    • Consistently low ratings may result in reduced visibility or suspension

    9. Account Standing & Violations

    To maintain good standing on the platform:

    • Maintain a response rate above 80%
    • Keep order fulfillment rate above 95%
    • Maintain average rating above 4.0 stars
    • Resolve patient disputes promptly and professionally
    • Keep license and credentials current

    Violation Consequences

    WarningFirst minor violation - written warning issued
    ProbationRepeated violations - 30-day probationary period
    SuspensionSerious or continued violations - temporary suspension
    TerminationSevere violations - permanent account termination

    10. Termination

    Either party may terminate participation:

    • By Pharmacy: Cancel subscription at any time through account settings
    • By Script Unlock: Immediate termination for serious violations; 30-day notice otherwise

    Post-Termination Obligations

    • Complete all pending orders before termination takes effect
    • Maintain patient records as required by law
    • Delete any Script Unlock proprietary information
    • No access to platform data or patient information after termination

    11. Liability & Indemnification

    Pharmacy Liability: You are solely responsible for all pharmaceutical services provided, including verification, dispensing, and patient counseling. Script Unlock is not liable for any errors, omissions, or adverse events related to your services.

    Indemnification: You agree to indemnify and hold harmless Script Unlock from any claims, damages, or expenses arising from your use of the platform, your pharmaceutical services, or violation of these terms.

    12. Dispute Resolution

    Patient Disputes: Work directly with patients to resolve issues. Script Unlock may mediate if needed but is not responsible for outcomes.

    Platform Disputes: Any disputes between your pharmacy and Script Unlock shall be resolved through binding arbitration in accordance with our general Terms of Service.

    13. Modifications

    Script Unlock reserves the right to modify these Pharmacy Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued participation after changes take effect constitutes acceptance of the modified terms.
